Terms of Service

Acceptance of these terms

These Terms of Service (the “Terms”) form a binding agreement between you and Whisply governing your access to and use of the Whisply Mac application and the website at whisply.net (collectively, the “Service”). By downloading, installing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

License to use the Mac app

Whisply is a Mac-only product. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the app on Apple devices that you own or control. You may not copy, modify, distribute, sublicense, sell, reverse engineer, or attempt to derive the source code of the app except to the extent that applicable law expressly permits despite this limitation.

Acceptable use

You are solely responsible for how you use Whisply, and you agree to use it only in a lawful and ethical manner. You must not use the Service to:

  • break any applicable local, national, or international law;
  • violate exam rules, academic integrity policies, or assessment conditions imposed by any institution;
  • breach any contract, employment policy, confidentiality obligation, or other agreement by which you are bound;
  • infringe the intellectual property, privacy, or other rights of any person.

You alone bear responsibility for ensuring that your particular use is permitted in your context. We provide a tool; you decide how to use it.

Not for exams, tests, or academic work. Whisply is a personal productivity assistant. It is not intended for, and must not be used during, any exam, test, quiz, assessment, certification, licensing examination, homework, take-home assignment, or any other situation where outside assistance, reference material, or software is not permitted. Using Whisply in those settings may constitute cheating or academic dishonesty and may breach the rules of your school, employer, certification body, or testing provider — and in some cases the law. We do not condone or support such use. Any such use is strictly at your own risk and is a violation of these Terms; we disclaim all responsibility and liability for the consequences (including disqualification, failing grades, revoked credentials, disciplinary action, or legal penalties), and we may suspend or terminate any account used this way. You are solely responsible for confirming that your use is permitted before you use the Service.

Subscriptions and billing

Some features of Whisply require a paid subscription. By purchasing a subscription, you authorize us or our payment processor to charge the applicable fees to your chosen payment method on a recurring basis until you cancel. Subscriptions renew automatically at the end of each billing period unless cancelled beforehand. Prices may change, and we will give reasonable notice before any change takes effect. No warranty

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. Any reference to “undetectability” describes a best-effort design goal and is not a guarantee. We do not warrant that the Service will be uninterrupted, error-free, secure, or that it will go undetected in any environment. You use the Service at your own risk.

Intellectual property

The Service, including its software, design, text, and the Whisply name and logo, is owned by us or our licensors and is protected by intellectual property laws. These Terms do not transfer any ownership rights to you. Content you create using the Service remains yours.

Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill arising from your use of the Service. Our total aggregate liability for any claim will not exceed the amount you paid us for the Service in the twelve months before the claim arose.

Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that harms us or others. Upon termination, the license granted to you ends, and you must stop using the app. Sections that by their nature should survive termination will continue to apply.

Governing law

These Terms are governed by the laws applicable in our principal place of business, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts located there.
